Introduction and Agreement to Terms

Welcome to Minovative Mind. These Terms of Use ("Terms") govern your access to and use of the Minovative Mind website (minovativemind.dev), including its user dashboard, authentication system, and credit purchase functionality, provided by Ward Innovations ("we," "us," or "our"). By accessing or using this website, you confirm your agreement to be bound by these Terms. If you do not agree to these Terms, you may not use this website.

Accounts

To access the dashboard and purchase credits, you must sign in using a GitHub account via OAuth. By signing in, you:

  • Authorize us to receive your GitHub profile information (name, email, and profile photo) for the purpose of creating and managing your account.
  • Consent to receive electronic communications from us (such as invoices, updates, and legal notices), which may be managed and distributed via our third-party email service provider, Mailchimp.
  • Are responsible for maintaining the security of your GitHub account.
  • Agree that you are at least 13 years of age.
  • Agree not to share your account access with others.

We reserve the right to suspend or terminate accounts that violate these Terms.

Electronic Communications and Email Policies

By creating an account on Minovative Mind website, you expressly consent to receive electronic communications from us, which may be managed, personalized, and delivered via our third-party email service provider, Mailchimp (Intuit Inc.).

We categorize our electronic communications into two distinct types:

1. Marketing and Promotional Emails

These communications include product newsletters, feature updates, marketing announcements, promotional offers, and usage tips. You have the right to opt-out of receiving these marketing communications at any time. You can easily do so by clicking the "unsubscribe" link located in the footer of any promotional email we send. Opting out of marketing emails will not affect your credit balances or your ability to use our services.

2. Transactional, Administrative, and Legal Notices

These communications are required to maintain your account and provide you with our services securely and in compliance with applicable law. They include:

  • Credit purchase receipts, billing invoices, and transaction confirmations.
  • Critical security bulletins, authentication prompts, and fraud prevention notices.
  • Service status alerts and essential maintenance notices.
  • Mandatory legal updates, including official changes to these Terms of Use, our Privacy Policy, or other critical agreements.

Because transactional, administrative, and legal communications are absolutely vital to the operation, security, and compliant delivery of our service, you cannot opt-out of receiving these notices while your account remains active. If you do not wish to receive any transactional, administrative, or legal emails from us, you must close and delete your account.

All legal notices, disclosures, agreements, and other communications that we provide to you electronically satisfyx any legal requirement that such communications be in writing.

Payments, Subscriptions, and Credits

Credit Purchases & Usage

We offer prepaid, one-time credit packs through our pricing page. All purchases are processed securely by Stripe. By completing a purchase, you agree to Stripe's Terms of Use.

  • Credits are non-transferable and linked solely to your account.
  • Credits are consumed when you use AI features within the Minovative Mind platform.
  • Purchased credit packs do not expire and remain in your account until used.

BYOK Subscription ($3.99/Month)

We offer a monthly BYOK Subscription for $3.99/month:

  • Service Scope: The $3.99/month fee covers account maintenance, software licensing, workspace synchronization, and cloud proxy infrastructure for operating the Minovative Mind CLI agent and platform tools.
  • Separation of Third-Party API Costs: The subscription fee does NOT include or cover third-party AI provider token costs. You are solely responsible for acquiring, managing, and paying for your own Google AI Studio / Gemini API key directly to Google LLC under your separate agreement with Google.
  • Full CLI & Model Access: An active BYOK Subscription grants full access to execute agent commands in minovative-mind-cli across all supported Gemini models using your own API key.
  • Billing & Auto-Renewal: BYOK Subscriptions bill recurringly on a monthly basis. Your payment method will be charged automatically every month until canceled.
  • Cancellation Policy: You may cancel your BYOK Subscription at any time via the Stripe Customer Portal on your account dashboard (minovativemind.dev/dashboard). Upon cancellation, your subscription remains active through the end of your current paid billing period, after which access to BYOK mode is suspended.

Promotional Codes & Coupons

Promotional codes (such as MMCLI) are subject to the following conditions:

  • Eligible Users: Applicable exclusively to first-time orders.
  • Redemption Limits: Limited to a maximum of one (1) redemption per customer and subject to a global redemption cap (e.g. first 1,000 customers).
  • Non-Transferable: Promotional codes cannot be resold, transferred, exchanged for cash, or combined with other discounts.

Refunds

All credit pack purchases and subscription payments are final and non-refundable, except where explicitly required by applicable law. If you believe you were charged in error, please submit a report via the Security Reporting Form within 30 days of the charge.

Billing Portal

Signed-in users may access the Stripe Customer Portal to view past invoices, update payment methods, and cancel active subscriptions. This portal is provided by Stripe and governed by Stripe's terms.

Website Usage and Conduct

Permitted Use: This website may be used to access marketing and documentation content about the Minovative Mind VS Code extension, to manage your account and credit balance, and to purchase credits.

Prohibited Conduct: You agree not to:

  • Use the website for any illegal or unauthorized purpose, or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any part of the website or its underlying systems.
  • Transmit any viruses, worms, or other malicious software.
  • Interfere with or disrupt the integrity or performance of the website.
  • Infringe upon the intellectual property rights of Ward Innovations or others.
  • Attempt to reverse engineer, decompile, or otherwise discover the source code or underlying structure of the website.
  • Fraudulently manipulate credit balances or circumvent billing systems.

Intellectual Property

All parts of this website — including all software, text, graphics, and trademarks — are the exclusive property of Ward Innovations and its licensors and are protected by intellectual property laws. You may not use our branding or trademarks without our prior written consent.

Disclaimer of Warranties

THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Ward Innovations BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE WEBSITE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE WEBSITE EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

These Terms shall be governed and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and posting the new Terms on this page. Your continued use of the website after any such changes constitutes your acceptance of the new Terms.
