Welcome to the Minovative Mind CLI! These Terms of Use ("Terms") govern your use of the Minovative Mind command-line interface, its related services, and the AI features powered by Vertex AI and Google AI Studio (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you ("User" or "You") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Description of Service

Minovative Mind CLI is an automated AI agent designed to assist software developers by reading, reviewing, and modifying code directly within their terminal. The Service utilizes third-party Large Language Models (LLMs), strictly Google's Cloud Vertex AI enterprise infrastructure and Google AI Studio (including Gemini 3.8 Flash, Gemini 3.7 Flash, Gemini 3.6 Flash, Gemini 3.1 Pro, and Gemini 3.5 Flash-Lite models), to process user queries, inspect local file context, generate code, execute terminal commands, orchestrate sub-agents, perform isolated runtime sandboxing, and execute deductive formal verification.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction.
  • Have a valid GitHub account, which is required for authentication (minovative-mind-cli login).
  • Comply with all applicable local, state, national, and international laws and regulations.

3. Account, Authentication, and Local Storage

  1. GitHub Login: You must authenticate using your GitHub account to access the AI models securely. You are responsible for maintaining the confidentiality of your authentication credentials and any actions taken under your account.
  2. Account Security: If you suspect any unauthorized use of your account or access tokens, you must notify us immediately and revoke access via GitHub.
  3. OS-Native Secure Credential Storage: The CLI stores authentication credentials (including Firebase UID, ID tokens, refresh tokens, and session metadata) locally using platform-native secure credential stores:
    • macOS: macOS Keychain (/usr/bin/security)
    • Linux: Linux Secret Service / Keyring (secret-tool via libsecret)
    • Windows: Windows Data Protection API (DPAPI via System.Security.Cryptography.ProtectedData)
  4. Encrypted Headless Fallback Storage: When operating in headless servers, CI/CD containers, or remote SSH environments where an OS keyring or graphical display manager is unavailable, credentials are persisted in an AES-256-GCM encrypted file (~/.minovativemind/.credentials.enc) with a cryptographically randomized 32-byte per-machine salt (~/.minovativemind/.credentials.salt). Fallback files are created with strict user-only POSIX permissions (0600 / read-write by owner only). You remain responsible for maintaining the security and access permissions of your local home directory and operating environment.
  5. BYOK (Bring Your Own Key) Handling & Storage Isolation: When providing your own Google AI Studio / Gemini API key (via GEMINI_API_KEY or the /config-key interactive workflow), your key is retained exclusively on your local machine within the OS-native secure credential store or AES-256-GCM encrypted store. BYOK keys are passed directly from your local client to Google AI Studio API endpoints and are never transmitted to, logged by, or stored on Minovative Mind intermediate proxy servers or cloud databases.
  6. Adaptive Persona Memory & Local Protections: The Service includes an adaptive memory engine that stores learned user communication preferences, cognitive decision-making spectrums, conversational persona traits (such as teammate pairing models, banter and humor affinity, speech formality, apology tolerance, stress/urgency cadences, and conversational quirks), technical conventions, and agent observations locally on your machine at ~/.minovativemind/user_profile.json with strict user-only permissions (0600). This data is stored strictly client-side, is never retained on or synchronized to Minovative Mind database servers, and may be inspected, modified, exported, or permanently deleted by you at any time via the /profile command.
  7. Client-Side JSONL Session Logs & Local Storage: The CLI persists conversation transcripts, turn history, and session metadata client-side in an append-only JSONL file (.minovativemind/chat_sessions.jsonl) within your local workspace directory. The .minovativemind directory is automatically configured with ignore rules (such as .gitignore) to prevent accidental check-in to version control systems. Chat transcripts, message payloads, and local caching structures are stored exclusively on your local filesystem and are never transmitted to or retained on Minovative Mind cloud database servers. You retain full control to inspect, compact, purge, or delete local session logs and project storage at any time.

4. User Responsibilities and Acceptable Use

You agree NOT to use the Service to:

  1. Generate Malicious Code: Create malware, ransomware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to computer systems.
  2. Violate Intellectual Property: Generate or distribute content that infringes on the copyrights, trademarks, or trade secrets of others.
  3. Abuse the API: Circumvent rate limits, automate requests maliciously, or attempt to reverse-engineer the CLI or the underlying AI infrastructure.
  4. Process Sensitive Data: Pass Personally Identifiable Information (PII), sensitive financial data, or protected health information (PHI) into the AI agent, as local file context is transmitted to third-party LLMs for processing.

5. Intellectual Property and Proprietary Licensing

  1. Your Code: You retain full ownership and intellectual property rights to the code you write and the projects you manage using the Service. Minovative Mind does not claim ownership of your local files or the code generated by the AI for your specific project.
  2. The CLI: The Minovative Mind CLI software, its logo, documentation, and underlying proprietary architecture are the exclusive property of Minovative Mind and are licensed under our Proprietary License. Reverse engineering, decompilation, unauthorized modification, or redistribution of the CLI or backend infrastructure is strictly prohibited.
  3. Feedback: If you provide any feedback, bug reports, or feature suggestions regarding the Service (e.g., via GitHub issues), you grant Minovative Mind a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation or compensation to you.
  4. Open Source Components: While the Minovative Mind CLI architecture is proprietary, it may utilize or bundle third-party open-source software packages (e.g., via NPM). These components are provided subject to their respective open-source licenses, and nothing in these Terms restricts your rights under those licenses.

6. Disclaimer regarding Artificial Intelligence and Autonomous Command Execution

  1. No Guarantee of Accuracy: The Service utilizes generative AI models. The output (code, text, or commands) may contain errors, bugs, security vulnerabilities, or hallucinations.

  2. User Verification: You are strictly responsible for reviewing, testing, and validating all AI-generated code, proof artifacts, and commands before executing them, relying on their verification status, or deploying them to production environments.

  3. AUTONOMOUS COMMAND EXECUTION WAIVER: The CLI supports autonomous capabilities, including running arbitrary shell commands, executing isolated runtime sandboxes (run_debug_script), running property-based fuzz test probes (run_fuzz_probe), inspecting runtime heap deltas (check_heap_delta), running behavioral drift checks (check_behavioral_drift), executing Lean 4 deductive formal proof verification (verify_formal_proof, lake env lean, lake build), and orchestrating parallel asynchronous Thread Agents (via the MMAAK engine) directly in your local terminal environment. The CLI provides an Approval Mode (including options to ask, skip approval once, or skip all approvals for automated workflows).

    BY USING THE SERVICE, YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT:

    • Enabling any automated, bypass, or parallel orchestration mode (such as /sub-agents or skipping confirmation checks) is done at your own sole discretion and risk.
    • Executing isolated runtime scripts, fuzz probes, behavioral drift comparisons, heap delta inspections, or Lean 4 formal proof verifications executes code and toolchains directly in your local operating environment (including temporary directories and Lean/Lake toolchain processes bounded by process timeouts of up to 2-3 minutes). You assume full responsibility for all processes spawned, toolchains invoked, and side-effects produced.
    • You assume full, unconditional liability for any commands run, scripts executed, fuzz vectors generated, proofs checked, files deleted, settings altered, parallel concurrency race conditions, or security vulnerabilities introduced by the AI agent(s) on your system.
    • Under no circumstances shall Minovative Mind, its creators, developers, or affiliates be liable for any hardware damage, data loss, repository corruption, terminal crashes, toolchain locks, CPU/memory exhaustion, or system instability caused directly or indirectly by AI-driven single-agent or multi-agent system execution.

7. Proxy Services, Credits, Subscriptions, and Billing

  1. Routing and Proxy Services: All AI generation requests generated by the CLI in managed credit mode are routed through our dedicated cloud proxy endpoint.
  2. Credit System: Access to the managed AI inference service is governed by a credit-based system. Purchased prepaid credit packs do not expire and are consumed on a per-request and per-token basis.
  3. BYOK Subscription ($3.99/Month):
    • Service Scope: Users may run minovative-mind-cli using their own Google AI Studio API key (BYOK mode) by subscribing to the BYOK Subscription for $3.99/month. This fee covers account maintenance, software operations, workspace synchronization, and cloud proxy infrastructure.
    • Separation of Third-Party API Costs: The $3.99/month subscription fee does NOT include or cover third-party AI provider token costs. You are solely responsible for acquiring, managing, and paying for your own Google AI Studio / Gemini API key directly to Google LLC under your separate agreement with Google.
    • Authentication & Subscription Verification: Users must be logged in (minovative-mind-cli login) and hold an active subscription (status is "active" or "trialing" in /customers/{uid}/subscriptions). Unauthenticated or unsubscribed users attempting BYOK execution will be blocked and directed to https://www.minovativemind.dev/pricing.
    • Auto-Renewal & Cancellation: BYOK Subscriptions bill recurringly on a monthly basis until canceled via the Stripe Customer Portal (minovativemind.dev/dashboard). Upon cancellation, access remains active through the end of the current billing period.
  4. Promotional Codes & Coupons: Promotional codes (such as MMCLI) are eligible for first-time orders only, limited to one redemption per customer, subject to a global redemption cap (e.g. first 1,000 customers), and are non-transferable.
  5. No Refund / Valuation Policy: Credits and subscription payments are final and non-refundable, except where required by law.
  6. No Uptime Guarantees: We do not guarantee uninterrupted availability, response times, or specific SLA uptimes for our custom proxy endpoint or underlying LLM providers.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MINOVATIVE MIND EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINOVATIVE MIND AND ITS AFFILIATES, DEVELOPERS, AND PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR USE OR INABILITY TO USE THE SERVICE.
  2. ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR LOCAL FILES, OPERATING SYSTEM, OR PROJECT REPOSITORIES BY THE CLI.
  3. ANY ERRORS, BUGS, SECURITY VULNERABILITIES, OR DATA LOSS INTRODUCED INTO YOUR SYSTEM OR CODEBASE BY AI-GENERATED INSTRUCTIONS OR AUTONOMOUS SHELL COMMANDS.
  4. THE DELETION, CORRUPTION, OR EXPOSURE OF LOCAL SOURCE CODE OR SYSTEM CONFIGURATIONS DURING SHELL ACTIONS.
  5. NETWORK OR SERVICE OUTAGES OF THE PROXY ENDPOINT, GOOGLE CLOUD VERTEX AI, OR GOOGLE AI STUDIO.

10. Indemnification

You agree to indemnify, defend, and hold harmless Minovative Mind, its developers, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  1. Your violation of these Terms.
  2. Your use or misuse of the Service, including any hardware damage, data loss, or server downtime caused by your execution of AI-generated shell commands, runtime sandboxes, fuzz probes, or Lean 4 formal proof verifications.
  3. Any intellectual property infringement claims arising from code generated or modified by the AI on your behalf.
  4. Your violation of any applicable laws, regulations, or third-party rights.

11. Third-Party Services

The Service integrates strictly with third-party providers, including GitHub (for authentication), Google Firebase/Firestore (for telemetry, subscription validation, and workspace state persistence), Google Cloud Vertex AI (for enterprise AI inference in managed mode), and Google AI Studio (for direct BYOK inference). Your use of the Service is subject to the terms and conditions and privacy policies of these third-party providers. Minovative Mind is not responsible for the availability, security practices, or performance of these third-party services.

12. Modifications and Termination of Service

  1. Modifications to the Service: We reserve the right to modify, suspend, or discontinue the Service, or any feature within it (such as specific models or slash commands), at any time, with or without prior notice. You agree that Minovative Mind shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
  2. Termination of Access: We reserve the right to suspend or terminate your access to the Service or proxy endpoints at any time, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms, non-payment, rate-limiting violations, or excessive usage that degrades the Service for others.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes by updating the "Effective Date" at the top of this document or through an announcement within the CLI or our repository. Continued use of the Service after such changes constitutes your consent to the new Terms.
